Ledgertech provides accounting, tax, payroll, company secretarial, bookkeeping, and related advisory services to businesses, individuals, and other entities. The precise scope of services in any engagement is set out in our Letter of Engagement and Schedule of Services, which form part of our contract with you alongside these Terms.
Nothing in these Terms creates an obligation on us to provide services beyond those described in the engagement letter. We may from time to time provide additional services by agreement, which will be subject to a supplementary engagement letter or written confirmation.
Our engagement commences when you sign and return our Letter of Engagement, or when you otherwise indicate acceptance of our terms (for example, by providing instructions and paying a fee). Until an engagement letter is signed, no formal obligations are created on either side, and any preliminary discussions or quotations are not binding.
Instructions must be given by an authorised person. Where we are engaged by a company, we will accept instructions from directors or persons they authorise in writing. We are not obliged to act on instructions given by third parties unless we have been notified in writing to do so.
We will communicate with you primarily by email unless you request otherwise. You are responsible for ensuring that the email address you provide to us is current and monitored.

You are responsible for making management decisions and for any decisions based on information, advice, or documents we prepare. Our work does not replace your judgment or relieve you of legal responsibilities as a director, officer, or business owner.
Our fees are set out in your engagement letter. We charge on the basis agreed at the outset, which may be a fixed fee, a fee based on time spent, or a combination. We will notify you in writing before undertaking any work that would result in additional charges beyond those agreed.
Invoices are payable within 14 days of the invoice date unless otherwise stated in your engagement letter. We may request payment of fees in advance or by monthly direct debit for ongoing services.
Where invoices remain unpaid beyond 14 days, we reserve the right to charge interest at 8% per annum above the Bank of England base rate under the Late Payment of Commercial Debts (Interest) Act 1998, and to suspend work until outstanding balances are cleared.
Any third-party costs, filing fees, or disbursements we incur on your behalf will be charged to you at cost, with prior notification where practicable.
All documents, reports, templates, methodologies, and working papers that we create in the course of providing services remain our intellectual property unless expressly assigned to you in writing. You are granted a non-exclusive licence to use work product we deliver to you for the purpose for which it was created.
All content on our website, including text, design, graphics, and branding, is owned by or licensed to Ledgertech Accountants Ltd. You may not reproduce, republish, or distribute website content without our prior written consent.
We treat all client information as strictly confidential. We will not disclose your information to third parties except:

As a firm regulated under the Money Laundering, Terrorist Financing and Transfer of Funds (Information on the Payer) Regulations 2017 (as amended), we are required to verify the identity of all clients and, where relevant, beneficial owners, before providing certain services.
We will ask you to provide identity documents and may use electronic verification systems to conduct these checks. We cannot commence or continue services until satisfactory verification has been obtained.
We are required by law to report suspicions of money laundering or terrorist financing to the National Crime Agency (NCA). Where we make such a report, we are prohibited by law from informing you that a report has been made ("tipping off"). Our duty to report overrides any confidentiality obligation we might otherwise owe to you.

These Terms and any engagement between you and Ledgertech Accountants Ltd are governed by the laws of England and Wales. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
